Yvo Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and Yvo ("Yvo," "we," "us," or "our") governing your access to and use of the Yvo mobile applications, watchOS companion, Share Extension, and related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Beta Software Notice

The Service is currently offered as Beta software, including through TestFlight and pre-release builds. You acknowledge that:

• Features may be incomplete, change without notice, or be removed
• The Service may contain bugs, errors, or interruptions
• Data loss, though unlikely with local storage, is possible — maintain your own backups
• We provide no uptime or service-level guarantee during Beta
• Feedback you provide may be used to improve the Service without compensation or attribution
• Beta builds may use temporary infrastructure (including shared cloud AI API configuration) described in the Privacy Policy

Your use of Beta software is at your own risk.

3. Definitions

• "User Content" — any content you create, import, record, or store through the Service, including notes, audio, attachments, web clips, and chat messages.
• "Premium" — paid features unlocked through valid in-app purchase or subscription.
• "Vault" — your personal collection of User Content stored through the Service, primarily on your device or in storage you select.
• "Account" — your registered Yvo identity used for sign-in and subscription management.

4. Eligibility

You must be at least 13 years old (or the minimum age required to consent to data processing in your jurisdiction, if higher) to use the Service.

If you are under 18, you represent that you have permission from a parent or legal guardian.

You are responsible for ensuring that your use of the Service complies with all applicable laws in your location.

5. Description of the Service

Yvo is a personal knowledge application — an intelligent second memory — that helps you capture, organize, and revisit information. The Service includes, among other features:

• Markdown-based notes, folders, tags, and wiki-style linking
• Todos, reminders, events, and schedule views derived from your vault
• Voice recording and transcription
• Quick Add text and voice capture
• Archive for saved links and images
• AI Assistant with vault-aware tools (Premium)
• Knowledge graph visualization (Premium)
• Web clip capture and offline archiving
• Share Extension for importing audio, URLs, images, files, and text
• watchOS companion for recording, browsing notes, and todos
• Local reminder notifications

The Service is local-first: your Vault is stored on your device or in a folder you choose (such as iCloud Drive). Account services handle authentication and subscription status; they do not replace your local Vault.

Feature availability may vary by device, iOS version, subscription status, network connectivity, and Beta release channel.

6. Accounts

6.1 Optional account for free use

You may use many features without creating an Account. During onboarding, you may choose to skip sign-in.

6.2 Account required for Premium purchase

To purchase or restore Premium, you must create and maintain an Account using a supported method (Sign in with Apple or email and password).

6.3 Accurate information

You agree to provide accurate account information and keep it current.

6.4 Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account. Notify us promptly at yvo.app@proton.me if you suspect unauthorized access.

6.4 Authentication provider

Authentication is provided through Supabase integrated with Sign in with Apple and email/password flows. Your use of Apple's authentication services is also subject to Apple's terms.

7. Free and Premium Features

7.1 Free tier

Without Premium, you may use core vault functionality, including notes, wiki, tasks, calendar views, archive, text-based Quick Add, and Share Extension imports of links, images, files, and plain text, subject to these Terms and feature limitations in the app.

7.2 Premium features

Premium unlocks features that may include:

• AI voice transcription (Quick Add and related flows)
• AI note enrichment and summarization
• AI Assistant with full vault access
• Knowledge graph and advanced vault tools
• Voice memo batch import
• Smart Categorize and AI-assisted Quick Add interpretation

Premium features may require network connectivity and may send User Content to third-party AI providers as described in the Privacy Policy.

7.3 Fair use

Premium marketing may describe AI features as "unlimited." Fair use limits may apply. We may throttle, suspend, or restrict access to AI features if usage is excessive, abusive, automated in a way that harms the Service, or inconsistent with normal personal use.

8. Subscriptions, Purchases, and Billing

This section satisfies Apple's App Store requirements for auto-renewable subscriptions (App Store Review Guideline 3.1.2).

8.1 Premium subscription — Yvo Premium (Monthly)

8.2 Introductory and promotional offers

If Apple or we offer introductory pricing (for example, a discounted first month), the app will display applicable terms at purchase. After the introductory period, the standard subscription price applies unless cancelled.

8.3 Lifetime purchase (when offered)

We may offer a non-consumable lifetime Premium purchase:

Lifetime may not be displayed in all app versions or storefronts.

8.4 Payment processing

All purchases are processed by Apple through the App Store. We do not collect or store your payment card information.

Your purchase is tied to your Apple ID. Premium entitlement may be synced to your Yvo Account for cross-device access when signed in.

8.5 Managing and cancelling subscriptions

You can manage or cancel auto-renewable subscriptions in:

Settings → [Your Name] → Subscriptions (on your Apple device)

Cancellation takes effect at the end of the current billing period. You will retain Premium access until then.

8.6 Restore purchases

Use Restore Purchases in the app to restore Premium previously bought with the same Apple ID.

8.7 Refunds

Refund requests are handled by Apple according to Apple's policies. We cannot issue App Store refunds directly.

8.8 Price changes

We may change subscription prices for new subscribers. If Apple permits price increases for existing subscribers, Apple will notify you according to its rules.

9. User Content and Ownership

9.1 Your ownership

You retain ownership of your User Content. Yvo does not claim ownership of your notes, recordings, or other Vault materials.

9.2 License to operate the Service

You grant Yvo a limited, non-exclusive, royalty-free license to host, store, process, and display User Content solely as necessary to provide the Service, including:

• Storing files locally on your device or in storage you select
• Processing content through on-device or third-party AI when you invoke those features
• Displaying content in the app and watchOS companion

This license ends when you delete User Content or stop using the Service, except for reasonable backup retention on your device or backups you maintain.

9.3 Obsidian-compatible vault

Your Vault uses markdown files compatible with Obsidian-style workflows. You may access files through the Files app where enabled. You are responsible for compatibility when moving files outside Yvo.

9.4 Responsibility for User Content

You are solely responsible for User Content and for ensuring you have the rights to import, store, and process it — including audio, images, web clips, and third-party text.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload or distribute malware, spam, or harmful code
• Infringe intellectual property, privacy, or other rights of others
• Harass, threaten, or abuse others through content you store (where shared or exported)
• Attempt to reverse engineer, scrape, or circumvent Premium or security measures except as permitted by law
• Use automated systems to abuse AI features or fair use limits
• Use the Service to systematically scrape third-party websites beyond personal web clipping for your own reference
• Misrepresent your identity or impersonate others
• Interfere with or disrupt the Service or its infrastructure

We may suspend or terminate access for violations.

11. Third-Party Content and Links

The Service may fetch, display, or archive content from third-party websites you choose to save. We do not endorse and are not responsible for third-party content, accuracy, availability, or practices.

Your use of third-party sites is subject to their terms and policies.

12. Artificial Intelligence Disclaimer

AI features — including transcription, enrichment, categorization, and the Assistant — use automated systems that may produce inaccurate, incomplete, or inappropriate output.

You acknowledge that:

• AI output is not professional advice (including medical, legal, financial, or mental health advice)
• You must review AI-generated or AI-modified content before relying on it
• The cloud Assistant may read and modify your Vault through tools when you use it; on-device Apple Intelligence Assistant features may be read-only depending on configuration
• AI providers are third parties with their own terms; see the Privacy Policy

Use AI features at your own discretion and risk.

13. Intellectual Property

13.1 Yvo property

The Service, including its software, design, trademarks, logos, and documentation (excluding User Content), is owned by Yvo and protected by intellectual property laws. These Terms do not grant you any right to use our branding except as necessary to use the Service.

13.2 Feedback

If you submit suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without obligation to you.

14. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share information. The Privacy Policy is incorporated into these Terms by reference.

Key points:

• Vault content is stored locally by default
• Account and subscription data are processed via Supabase
• Premium AI features may send content to third-party AI providers when you use them

15. Beta-Specific Terms

In addition to Section 2, during Beta:

• We may reset, migrate, or change data formats with notice where practicable
• Support is best-effort via yvo.app@proton.me
• You should export or backup important Vault data through Files or other means you control
• We may end Beta access or migrate you to a general release build

16. Termination

16.1 By you

You may stop using the Service at any time by uninstalling the app. Cancelling a subscription follows Apple's subscription management process (Section 8.5).

16.2 By us

We may suspend or terminate your access if you materially breach these Terms, misuse the Service, or where required by law. Where reasonable, we will provide notice.

16.3 Effect of termination

Upon termination:

• Your right to use the Service ends
• Local Vault data may remain on your device until you delete it
• Account deletion requests are handled per the Privacy Policy
• Provisions that by nature should survive (disclaimers, limitations, indemnity) survive

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA WILL NOT BE LOST. BETA SOFTWARE CARRIES HEIGHTENED RISK.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• YVO AND ITS DEVELOPERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR PREMIUM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) FIFTY US DOLLARS (US $50)

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.

19. Indemnification

You agree to indemnify and hold harmless Yvo and its developers from claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your User Content
• Your use of the Service in violation of these Terms
• Your violation of any law or third-party rights

20. Governing Law and Disputes

These Terms are governed by applicable law in the jurisdiction where Yvo operates, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence provide otherwise.

Before formal proceedings, you agree to contact us at yvo.app@proton.me to attempt informal resolution within 30 days.

Nothing in these Terms limits rights you may have under mandatory consumer protection laws in your jurisdiction.

We will update this section with a specific governing jurisdiction when our registered business entity is finalized.

21. Apple-Specific Terms

You acknowledge that:

• These Terms are between you and Yvo, not Apple Inc.
• Apple is not responsible for the Service or its content
• Apple has no obligation to provide maintenance or support for the Service
• Apple is not responsible for addressing claims relating to the Service, including product liability, legal compliance, or consumer protection claims
• Apple is a third-party beneficiary of these Terms as they relate to your use of the Service on iOS, and may enforce these Terms against you
• You must comply with applicable App Store terms of service

22. Changes to These Terms

We may modify these Terms from time to time. We will post the updated Terms with a revised "Last updated" date. Material changes may be communicated in-app or by email where appropriate.

Your continued use after the effective date of updated Terms constitutes acceptance, except where prohibited by law.

23. General Provisions

• Entire agreement — These Terms and the Privacy Policy constitute the entire agreement regarding the Service
• Severability — If any provision is unenforceable, the remainder remains in effect
• No waiver — Failure to enforce a provision is not a waiver
• Assignment — You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets
• Language — These Terms are written in English. Translated versions, if any, are for convenience; the English version controls to the extent permitted by law
